Terms of Delivery and Sale for Oy C.E. Lindgren Ab’s B2B Online Store

These Terms of Delivery and Sale apply to orders placed through Oy C.E. Lindgren Ab’s website and B2B ordering channel, unless otherwise agreed in writing between the parties.

2. Scope of Application

The online store and B2B ordering channel are intended for business customers. Products are sold exclusively to companies and other organisations.

Placing an order requires a customer account created or approved by Oy C.E. Lindgren Ab. Only registered and approved B2B customers may place orders through the online store.

These Terms do not apply to consumer sales. The statutory 14-day right of withdrawal applicable to consumer online purchases does not apply to the business-to-business transactions covered by these Terms.

3. Customer Account and Placing Orders

The Customer is responsible for ensuring that all information provided through the customer account is accurate and up to date. The Customer is also responsible for keeping usernames and passwords secure and for all orders placed through the customer account.

Oy C.E. Lindgren Ab reserves the right to approve or reject an application for a customer account and to restrict or close a customer account for justified reasons.

4. Acceptance of Orders

An order placed through the online store is binding on the Customer once the order has been submitted. Oy C.E. Lindgren Ab reserves the right to review the order before accepting it.

Oy C.E. Lindgren Ab reserves the right to accept or reject an order due to, for example, product availability, a pricing error, payment terms, credit information or another justified reason.

A contract is concluded when Oy C.E. Lindgren Ab has confirmed the order or commenced processing the order.

5. Products and Product Information

We endeavour to keep the product information, images, prices and availability information displayed on the website as accurate and up to date as possible. Product images are, however, for illustrative purposes only, and the colours, packaging or details of the products may differ from those shown in the images.

We reserve the right to modify products, product information, the product range and product availability without prior notice.

6. Prices

Prices displayed in the online store are intended for business customers and are stated exclusive of VAT, unless otherwise specified.

Value-added tax will be added to the invoice at the applicable rate where VAT applies to the sale in question.

We reserve the right to change prices without prior notice. If an order contains an obvious pricing error, Oy C.E. Lindgren Ab reserves the right to correct the price or cancel the order.

7. Payment Method and Payment Terms

The payment method available in the online store is invoice.

Invoices are issued in accordance with the payment terms approved by Oy C.E. Lindgren Ab. Customer-specific payment terms and credit limits may be assigned to the Customer.

Oy C.E. Lindgren Ab reserves the right to require advance payment, amend the payment terms, suspend deliveries or reject an order if the Customer has overdue payments, exceeds its credit limit or if the Customer’s ability to pay is considered to present a risk.

Interest on late payments and debt collection costs may be charged in accordance with the applicable legislation.

8. Delivery Methods

We deliver orders using the following carriers:

  • Matkahuolto
  • Posti
  • DB Schenker

The delivery method is selected based on the order, the products, the delivery address and the size of the shipment.

9. Delivery Area

We deliver products within Finland and elsewhere in Europe.

For international deliveries, the delivery time, delivery method and delivery costs are determined on a case-by-case basis. The Customer is responsible for any taxes, customs duties, official charges and other import-related costs applicable in the destination country, unless otherwise agreed in writing.

10. Delivery Times

The standard delivery time for products held in stock and delivered within Finland is generally 1–4 business days from the processing of the order.

The delivery time for products ordered from suppliers is generally 1–4 weeks, depending on the product, supplier and availability.

Delivery times are estimates and are not binding unless a delivery date has been separately agreed in writing. Oy C.E. Lindgren Ab is not liable for delays caused by, for example, a carrier, supplier, force majeure event or another circumstance beyond the control of Oy C.E. Lindgren Ab.

11. Delivery Costs

Delivery costs are determined based on the weight and dimensions of the shipment, the delivery method and the delivery address.

Delivery costs will be added to the invoice unless another delivery arrangement has been agreed with the Customer in writing.

12. Retention of Title and Transfer of Risk

Title to the products will pass to the Customer once the purchase price has been paid in full.

The risk of loss of or damage to the products will pass to the Customer when the products have been handed over to the Customer or to the carrier in accordance with the applicable delivery terms, unless otherwise agreed in writing.

13. Receipt and Inspection of Deliveries

The Customer must inspect the delivery without undue delay after receiving it.

If transport damage, missing items, an incorrect product or another discrepancy is identified in the delivery, the Customer must notify Oy C.E. Lindgren Ab as soon as possible by email at:

Any transport damage must be noted on the consignment note or reported to the carrier in accordance with the carrier’s instructions.

14. Claims and Complaints

Claims and complaints must be submitted within a reasonable period after the defect has been identified. A claim or complaint must include:

  • the Customer’s name and company name
  • the order or invoice number
  • the product name or product number
  • a description of the defect
  • photographs of the defect or damage, where applicable
  • contact details for processing the matter.

Oy C.E. Lindgren Ab has the primary right to remedy the defect, provide a replacement product or issue a credit for the defective product in a manner to be agreed separately.

15. Returns

Business customers do not have a general right to return non-defective products unless the return has been separately agreed with Oy C.E. Lindgren Ab.

All returns must be agreed in advance. A returned product must be unused, undamaged, fit for resale and in its original packaging.

The Customer is responsible for the return costs unless the return is due to an error by Oy C.E. Lindgren Ab or otherwise agreed in writing.

16. Special-Order and Customised Products

Products ordered specifically for the Customer, products procured separately for the Customer, products manufactured according to the Customer’s measurements or requirements and other customised products cannot be returned unless the product has a defect for which Oy C.E. Lindgren Ab is responsible.

17. Warranty

Products are covered by a 12-month warranty, unless otherwise specified for the individual product or in the manufacturer’s warranty terms.

The warranty covers defects in materials and workmanship. The warranty does not cover normal wear and tear, improper use, inadequate maintenance, incorrect storage, installation errors, damage caused by the Customer or use of the product contrary to the applicable instructions.

Warranty processing requires the Customer to notify Oy C.E. Lindgren Ab of the defect within a reasonable period and to provide the information required to investigate the matter.

18. Limitation of Liability

Oy C.E. Lindgren Ab is not liable for indirect or consequential losses, including interruptions to production, loss of income, loss of profit, disruption of contractual relationships or other indirect losses, unless the loss was caused by the wilful misconduct or gross negligence of Oy C.E. Lindgren Ab.

The liability of Oy C.E. Lindgren Ab is limited to the purchase price of the relevant delivery or defective product, unless otherwise required by mandatory legislation.

19. Force Majeure

Oy C.E. Lindgren Ab is not liable for any delay or damage caused by an impediment beyond the reasonable control of Oy C.E. Lindgren Ab.

Such impediments may include, for example, strikes, lockouts, war, government orders, import or export restrictions, pandemics, fires, natural events, transport disruptions, shortages of raw materials, supplier delays, telecommunications disruptions or other similar unforeseeable events.

20. Governing Law and Dispute Resolution

These Terms and all transactions between the parties are governed by the laws of Finland.

Any disputes will primarily be resolved through negotiations between the parties. If the parties are unable to resolve a dispute through negotiations, the dispute will be resolved by a court of competent jurisdiction in Finland.

21. Amendments to These Terms

Oy C.E. Lindgren Ab reserves the right to amend these Terms of Delivery and Sale. The current version of the Terms is available on the website.

Orders are subject to the Terms in force at the time the order is placed, unless otherwise agreed in writing.
